Please read these terms carefully. Section 4 explains that information on the Site is not an offer, quote or guarantee. Section 15 contains a binding arbitration agreement and a class-action waiver that affect how disputes are resolved. Sections 12 and 13 limit our liability.
1. Agreement to these terms
These Terms of Service (“Terms”) are a legal agreement between you and Coxama LLC (“Coxama”, “Orílé Networks”, “we”, “us” or “our”) and govern your access to and use of our websites, including all pages, forms, tools and content (the “Site”). By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.
If you use the Site on behalf of a company or other organization, you confirm that you are authorized to accept these Terms for it, and “you” includes that organization.
2. Who we are
Orílé Networks is a product and trading name of Coxama LLC, a limited liability company organized under the laws of the State of Georgia, United States, with its registered address at 1349 W Peachtree Street NW, Suite 1910, #796, Atlanta, GA 30309, United States. Coxama LLC is the contracting entity for all Orílé Networks services.
3. Eligibility and business use
You must be at least 18 years old and able to form a binding contract to use the Site. The Site is intended for businesses and professionals seeking customer experience, technical support and consultancy services, and for people interested in working with us. It is not intended for consumer purchases.
4. Our services are under separate contracts
Information on the Site is general and intended for business audiences. The Site describes our services for information only. Nothing on the Site is an offer capable of acceptance, a binding quote, a guarantee, or a commitment to provide any service. Services are provided only under a written agreement signed by Coxama LLC, such as a master services agreement, statement of work, order form or consultancy engagement letter (a “Client Agreement”).
If there is any conflict between these Terms and a Client Agreement, the Client Agreement governs. Service levels, targets and standards described on the Site (for example answer times, resolution rates, pod sizes, training periods or response times) are general descriptions of our typical approach and are binding only if and as set out in a Client Agreement.
Descriptions of our people, training programs, security practices, tools, technology, sector focus, coverage hours, languages and response times describe our intended standards and approach. They are not representations that any particular practice, resource, certification or capability is in place for every engagement, and they may change as our business develops. Words such as “aim”, “typically”, “can” and “example” mean exactly that. We do not hold any third-party certification unless we expressly say so, and any compliance plans we describe are goals, not commitments.
We do not promise any particular business result, such as higher sales, lower costs, satisfaction scores or resolution rates. Results depend on many factors outside our control, including your products, systems, data, staffing decisions and customers.
5. Estimates, tools and information
The Site includes tools such as the team-size estimator and contact-center health check. Their results are illustrative estimates based on simplified assumptions and the information you enter. They are not quotes, guarantees, or professional, financial, legal, regulatory or technical advice, and you should not rely on them to make decisions. Actual staffing, pricing and outcomes depend on a full assessment and a Client Agreement.
We try to keep the Site accurate and current, but its content may contain errors or become out of date, and we may change it at any time without notice. Content about laws, regulations, security or compliance is general information only.
6. Submissions and communications
When you submit a form or contact us, you confirm that the information you provide is accurate, that you have the right to share it, and that it does not include sensitive personal information or confidential information of others that you are not authorized to disclose. Submitting a request does not create a client relationship, a contract or any duty of confidentiality, unless and until we sign a Client Agreement or a separate non-disclosure agreement. Do not send us confidential information through the Site before such an agreement is in place.
You agree that we may contact you by email, phone or video about your request, as described in our Privacy Policy. You agree to receive communications from us electronically, and that electronic notices satisfy any legal requirement that communications be in writing.
7. Careers
Registering interest or applying for a role through the Site does not create an employment, contractor or other relationship, and does not guarantee an interview or offer. Descriptions of roles, training, equipment, pay or career paths are general and may change; any engagement is subject to a written offer and agreement, background checks where lawful, and the laws of the country where you would work. We are an equal opportunity employer.
8. Acceptable use
You agree not to, and not to help others to:
- use the Site in violation of any law or regulation, or for any fraudulent, harmful or unauthorized purpose;
- submit false or misleading information, impersonate any person, or submit another person’s information without authority;
- send spam, unsolicited promotions, malware, or any content that is unlawful, defamatory, harassing, obscene or infringing;
- probe, scan or test the vulnerability of the Site, or breach or circumvent any security or authentication measure;
- interfere with or disrupt the Site, its servers or networks, including by overloading, flooding or denial-of-service attacks;
- use bots, scrapers, crawlers or other automated means to access, copy or collect content or data from the Site, except standard search-engine indexing that respects our robots instructions;
- use any content from the Site to train, fine-tune or benchmark artificial intelligence or machine-learning models without our written permission;
- copy, modify, frame, mirror, reverse engineer or create derivative works of the Site or its content, except as these Terms expressly allow;
- use the Site to build or market a competing product or service, or to gather competitive intelligence.
9. Intellectual property
The Site and all of its content, including text, graphics, design, layout, code, tools, methodologies, frameworks (such as Orílé Academy and our service and consultancy models), and the selection and arrangement of content, are owned by Coxama LLC or its licensors and are protected by copyright, trademark and other laws. “Orílé Networks”, the horn-blower logo and related names and marks are trademarks of Coxama LLC. You may not use them without our prior written permission.
We grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Site for your internal business evaluation of our services, and to print or download pages for that purpose, provided you keep all copyright and other notices. All other rights are reserved.
10. Feedback
If you send us ideas, suggestions or feedback about the Site or our services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation or compensation to you. You agree not to send feedback that you consider confidential or proprietary.
11. Third-party links and services
Product and company names mentioned on the Site (for example CRM, helpdesk and ticketing platforms) are trademarks of their respective owners. We mention them only to describe tools our clients may use. A mention does not mean we are a partner, reseller or certified provider of that product, or that its owner endorses us.
The Site may link to or rely on websites, tools and services provided by third parties, including platforms we mention or recommend. We do not control and are not responsible for their content, availability, security, products or practices, and a link or mention is not an endorsement. Your use of them is at your own risk and subject to their terms.
12. Disclaimers
To the maximum extent permitted by law, the Site and all content, tools and information on it are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy or quiet enjoyment, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Site will be uninterrupted, timely, secure or error-free, that defects will be corrected, that the Site is free of viruses or other harmful components, or that any results, estimates or outcomes will be achieved.
Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
13. Limitation of liability
To the maximum extent permitted by law, in no event will Coxama LLC, its affiliates, or their members, managers, officers, employees, contractors, agents, licensors or suppliers be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, data or anticipated savings, or costs of substitute services, arising out of or relating to these Terms or your use of or inability to use the Site, whether based on contract, tort (including negligence), strict liability or any other theory, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our total liability for all claims arising out of or relating to these Terms or the Site will not exceed one hundred US dollars (US$100).
These limitations apply even if a remedy fails of its essential purpose. They do not limit liability that cannot be limited under applicable law, such as liability for fraud or for death or personal injury caused by negligence where such limits are prohibited. Liability under a Client Agreement is governed by that agreement.
14. Indemnity
To the maximum extent permitted by law, you will defend, indemnify and hold harmless Coxama LLC, its affiliates and their members, managers, officers, employees, contractors and agents from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use or misuse of the Site; (b) your breach of these Terms; (c) information you submit; or (d) your violation of any law or the rights of any third party. We may assume the exclusive defense of any matter subject to indemnity, and you will cooperate with us.
15. Disputes: arbitration and class-action waiver
15.1 Informal resolution first. Before starting any formal proceeding, the party with a dispute must send the other a written notice describing the dispute and the relief sought (to us at contact@orilenetworks.com). Both parties will try in good faith to resolve it within 60 days of the notice.
15.2 Binding arbitration. If the dispute is not resolved, any dispute, claim or controversy arising out of or relating to these Terms or the Site, including questions about the scope, validity or enforceability of this section, will be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules then in effect. The arbitration will be conducted by a single arbitrator, in English, in Atlanta, Georgia or by video conference, and judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this section.
15.3 Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek temporary or preliminary injunctive relief in court to protect its intellectual property, confidential information or the security of the Site, pending arbitration.
15.4 Class-action and jury waiver. To the maximum extent permitted by law, disputes will be resolved only on an individual basis. You and we waive any right to bring or participate in a class, collective, consolidated or representative action or arbitration, and waive any right to a jury trial. If this class-action waiver is found unenforceable for a particular claim, that claim must be decided in court under section 16, and the rest of this section still applies.
15.5 Opt-out. You may opt out of this arbitration agreement by emailing contact@orilenetworks.com within 30 days after you first accept these Terms, with your name and a clear statement that you opt out of arbitration.
15.6 Time limit. To the extent permitted by law, any claim arising out of or relating to these Terms or the Site must be started within one year after the claim arose; otherwise it is permanently barred.
16. Governing law and venue
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Georgia and applicable US federal law, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to section 15, the state and federal courts located in Fulton County, Georgia have exclusive jurisdiction, and you and we consent to their personal jurisdiction and venue.
17. Suspension and termination
We may suspend or end your access to all or part of the Site at any time, without notice, if we believe you have breached these Terms or if needed to protect the Site, our business or others. Sections that by their nature should survive (including sections 9 to 16 and 19) survive termination.
18. Changes to the Site and these terms
We may change, suspend or discontinue any part of the Site at any time. We may also update these Terms by posting a new version with a new “last updated” date. Changes take effect when posted, except that changes to section 15 will not apply to a dispute of which we had notice before the change. If you continue to use the Site after changes take effect, you accept the updated Terms.
19. General terms
- Entire agreement: these Terms and the Privacy Policy are the entire agreement between you and us about the Site, and replace any prior understanding about it. A Client Agreement governs our services.
- Severability: if any provision is found unenforceable, it will be enforced to the maximum extent permitted and the rest of these Terms stays in effect.
- No waiver: our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment: you may not assign these Terms without our written consent. We may assign them, including to an affiliate or a successor in a merger, acquisition or sale of assets.
- Force majeure: we are not responsible for any delay or failure caused by events beyond our reasonable control, including natural disasters, pandemics, war, terrorism, civil unrest, labor disputes, government action, power, internet or telecommunications failures, or failures of third-party providers.
- Export and sanctions: you will not use the Site in violation of US or other applicable export control or sanctions laws, and you confirm you are not a person or entity on a sanctions list.
- Relationship: nothing in these Terms creates a partnership, joint venture, agency, fiduciary or employment relationship.
- Interpretation: headings are for convenience only. “Including” means “including without limitation”. If these Terms are translated, the English version governs.
